The short version: These terms cover your use of the micropros.net website. Use the site lawfully, respect our content and trademarks, and understand the site is provided “as is.” The software you buy is covered by a separate License Agreement, and payments by our Refund & Subscription Policy.

These Terms of Use (“Terms”) govern your access to and use of the website at micropros.net and related pages (the “Site”), operated by GNC Wholesale, LLC, doing business as MicroPros (“MicroPros”, “we”, “us”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

The Site and its content — including text, graphics, logos, the “MicroPros” and “SwanDesk” names and marks, page design, and software — are owned by MicroPros or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to view and use the Site for its intended purpose. You may not copy, reproduce, republish, or create derivative works from the Site’s content without our prior written permission, except as permitted by law (for example, ordinary browser caching).

Our product, SwanDesk ITSM, is licensed under a separate Software License Agreement (EULA), and your use of the Software is governed by that agreement, not these Terms. These Terms cover only your use of this website.

5. Purchases, pricing, and payment

Purchases made through the Site are processed by PayPal. Prices, editions, and features are as described on our Store page and may change at any time; the price in effect at the time of your purchase applies to that purchase. You are responsible for any applicable taxes. Refunds, renewals, and subscription terms are described in our Refund & Subscription Policy. We may refuse or cancel an order if we suspect fraud or error.

To the maximum extent permitted by law, MicroPros will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100). Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless MicroPros from any claims, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Site or violation of these Terms or applicable law.

We may modify or discontinue the Site, and we may update these Terms, at any time. Material changes will be posted here with a new “Last updated” date, and your continued use of the Site after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. The state and federal courts located in California will have exclusive jurisdiction over any dispute arising out of or relating to the Site or these Terms, and you consent to that jurisdiction.
